Julie Ryan is of counsel at Russ August & Kabat, where she practices corporate and finance law.

Ms. Ryan’s practice focuses on structuring, negotiating and documenting corporate, securities and real estate transactions, and advising clients with respect to a broad range of corporate, real estate and securities matters, with a focus on mergers & acquisitions and capital markets.

Prior to joining Russ August & Kabat, Ms. Ryan was an associate at Akin Gump Strauss Hauer & Feld LLP and Clifford Chance LLP, where she handled a wide variety of complex international and domestic corporate and securities transactions for both private and public corporate clients, including structuring and negotiating mergers, acquisitions and divestments, joint ventures and other business combinations, public and private offerings of securities and secured debt financing and leasing arrangements.

Ms. Ryan also brings with her substantial experience in general contract preparation, such as purchase and sale, employment, shareholder, option and licensing agreements. Ms. Ryan’s capabilities also encompass cross-border transactions, IPOs, public company listing and reporting and advising on general corporate matters. Ms. Ryan has represented major companies across a range of industries, including technology, oil & gas, retail, entertainment, investment funds and transportation.

Prior to commencing her legal career, Ms. Ryan worked as Communications Manager for an international investment promotion firm where she advised foreign governments and institutional and private investors with respect to attracting and structuring cross-border investments in developing countries.

While at the Georgetown University Law Center, Ms. Ryan was a Law Fellow and also served as Senior Staff Editor on the Law and Policy in International Business Law Review, and as Associate Director of the Georgetown Barristers’ Council Moot Court Program. Ms. Ryan also volunteered with the D.C. Street Law Program.

Ms. Ryan is on the Corporations Committee of the Business Law Section of the California State Bar. She is also an adjunct professor at the University of Southern California Gould School of Law.

Ms. Ryan is admitted to the California, New York and District of Columbia Bars, and is fluent in French and Spanish.
