Real Estate Transactions and Litigation

Guiding Property From Deal to Dispute

Real Estate Transactions and Litigation

Russ August & Kabat’s real estate practice represents developers, investors, lenders, and property owners across the full life of an asset — from acquisition and development through leasing and financing, and, when necessary, litigation. The group pairs sophisticated transactional work with the firm’s trial strength, so clients have one team whether they are closing a deal or defending it.

Leadership

The practice is led by founding partner Matthew Rips, who built RAK’s real estate group to serve leading developers and property owners in both transactional and litigation contexts. Our attorneys have advised on marquee mixed-use developments, including Time Warner Center in New York and L.A. Live in Los Angeles.

What we do

  • Acquisitions and dispositions — purchase, sale, and exchange of commercial, residential, and mixed-use property.
  • Development and land use — entitlements, zoning, and project structuring.
  • Leasing — office, retail, industrial, and ground leases, for landlords and tenants.
  • Joint ventures and finance — equity and debt structures, construction and permanent financing, and workouts.
  • Real estate litigation — purchase-and-sale, lease, partnership, title, and development disputes, through trial.

Why RAK

Our real estate lawyers work seamlessly with the firm’s corporate, tax, and litigation groups, so a single team can structure a transaction, paper it, and protect it if a dispute arises — sophisticated counsel without the overhead of a larger firm.
